Updated as of December 4, 2023 * * * **Promotion** The Bull vs. Bear Merchandise Promotion (the “Promotion”) is a limited time campaign that begins on December 1, 2023 at 12:00 AM ET and ends on the date that there are no more Rewards (as defined below) available (the “Promotional Period”).  This Promotion is offered by MoneyLion Technologies Inc. (together with its affiliates, “MoneyLion”), P.O. Box 1547, Sandy, Utah 84091-1547.  MoneyLion will be the official timekeeper for the Promotion. **Eligibility** This Promotion is available to any registered MoneyLion user who is a legal resident of the 50 United States or the District of Columbia and who has reached the age of majority in their state as of the beginning of the Promotional Period.  **Promotion Requirements** In order to receive a Bull vs. Bear hat (the “Reward”), a participant in the Promotion (a “Participant”) must vote in MoneyLion’s Bull vs. Bear daily challenge on the MoneyLion mobile application and correctly select the winning stock, as determined pursuant to the terms and conditions of Bull vs. Bear, for seven (7) consecutive stock matchups (the “Qualifying Winning Streak”).  Building a Qualifying Winning Streak requires voting in Bull vs. Bear using a registered MoneyLion account, so any individual who participates in Bull vs. Bear daily challenges without logging into their registered account (such as by participating in Bull vs. Bear online on the bullvbear.com webpage) will not be able to participate in the Promotion. If the Participant achieves a Qualifying Winning Streak (a “Winner”) and there are Rewards available, MoneyLion will mail the Reward within twenty-one (21) calendar days (subject to any delays or other circumstances which may delay the distribution of the Reward) to the official address associated with such Winner’s MoneyLion account or, if MoneyLion does not have an official address on file for such Winner, to the address provided by the Winner to MoneyLion when MoneyLion contacts the Winner to claim the Reward. By participating in this Promotion, each Participant authorizes MoneyLion or its agent to mail the Reward to their address in the event they achieve a Qualifying Winning Streak.  A Winner will forfeit their Reward if their MoneyLion account is not in good standing, as determined by MoneyLion in its sole discretion, or if the Winner is otherwise unable to receive the Reward. There are a total of thirty (30) Rewards available for this Promotion. Rewards are only available to Participants until there are no more Rewards. If the number of Participants who achieve a Qualifying Winning Streak exceeds the number of available Rewards, then Participants who receive the awards will be selected at random. Each Participant is eligible to receive only one Reward under this Promotion.  Once the Participant has received the Reward or if the Promotion Period passes and the Participant did not achieve a Qualifying Winning Streak, then the Participant is no longer eligible to participate in this Promotion.  Once a Participant has received a Reward under this Promotion or prior similar promotions, they will no longer be eligible to participate in this Promotion or future similar promotions. **Bull vs. Bear Acknowledgment** By participating in this Promotion, each Participant acknowledges that the Bull vs. Bear daily challenge is a feature of MoneyLion that MoneyLion is continuing to develop and that MoneyLion has the sole discretion as to whether to support or change Bull vs. Bear at any time, including in a manner that may reduce functionality.  Each Participant acknowledges and agrees that Bull vs. Bear may not be available or reliable and that MoneyLion provides Bull vs. Bear solely for entertainment purposes, on an “as is” basis, and that there may be certain errors or deficiencies in its functionality, including the tracking of a Qualifying Winning Streak.  Accordingly, MoneyLion shall not be liable to any Participant in any manner whatsoever arising out of or in connection with Bull vs. Bear and this Promotion. **Miscellaneous** MoneyLion will issue each Participant any applicable tax forms if required by law.  Reward recipients are solely responsible for any federal, state or local taxes that may be associated with receiving a Reward, and should consult with their own financial, tax and/or legal advisor(s) regarding the same.  In its sole discretion, MoneyLion may change or terminate this Promotion at any time without notice to you.  MoneyLion reserves the right to review and disqualify, at any time and in its sole discretion, any Participant from participating in this Promotion if they do not comply with these Terms and Conditions or otherwise receive a Reward in a manner inconsistent with these Promotion terms.  MoneyLion further reserves the right not to honor and/or seek return and/or reimbursement of any Reward which, in MoneyLion’s sole discretion, was solicited in a manner inconsistent with these Terms and Conditions.  MoneyLion may choose to withhold or claw back any Reward that a purported Winner may receive under this Promotion if MoneyLion believes that they engaged in fraud, did not satisfy the eligibility requirements or violated these Terms and Conditions. By accepting the Reward, the Participant agrees to fully release MoneyLion and its directors, officers, representatives and agents from any and all liability whatsoever for any injuries, losses or damages of any kind by participating in this Promotion or in connection with the Reward, including acceptance, possession or use/misuse of the Reward. **General** MoneyLion is a financial technology company, not a bank.
