The following rules (the “Official Rules”) apply to most promotions and sweepstakes for members of the MoneyLion Wow Membership (each, a “MoneyLion Wow Promotion”) conducted through the MoneyLion mobile application (the “MoneyLion App”), except those with specifically noted promotion rules. The MoneyLion Wow Promotions include those with a method of entry that require a post, a like, a comment, or a share, joining a virtual event or webinar, or otherwise opting in, in order to be eligible to win the specific denominated prize. The MoneyLion Wow Promotions are sponsored by ML Plus LLC (the “Sponsor”), P.O. Box 1547, Sandy, Utah 84091. If applicable, the Sponsor’s clock is the official timekeeper of a MoneyLion Wow Promotion. Rules for any specific MoneyLion Wow Membership-related promotion conducted by Sponsor or one of its affiliates or partners outside of the basic MoneyLion Wow Promotions detailed above shall supersede the basic rules outlined in these Official Rules. Participation constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules.

  

ELIGIBILITY: Each MoneyLion Wow Promotion is open to any registered MoneyLion user who is a member of the MoneyLion Wow Membership in good standing (“Wow Member”) as of the MoneyLion Wow Promotion start date, and who is a legal resident of the fifty (50) United States or the District of Columbia (excluding Puerto Rico and all other U.S. territories and possessions), and who has reached the age of majority in their state or territory of residence. Employees, directors, officers and representatives of the Sponsor, its parents, affiliates, subsidiaries, agents, advertising and promotion agencies, and members of the immediate family (mother, father, sons, daughters and spouse, regardless of where they reside) and household members of each, whether or not related, are not eligible to participate in a MoneyLion Wow Promotion. Void where prohibited by law

  

HOW TO ENTER EACH MONEYLION WOW PROMOTION: During the specific MoneyLion Wow Promotion period as stated in the MoneyLion App, an eligible entrant may enter the MoneyLion Wow Promotion as described in the post, card, video or other content in the MoneyLion App (“Content”) regarding the specific MoneyLion Wow Promotion. Entrants may be asked to like the particular MoneyLion Wow Promotion Content, comment below or share Content in the MoneyLion App or to enter by clicking a button or otherwise providing their RoarTag in response to the MoneyLion Wow Promotion Content to receive an entry into the MoneyLion Wow Promotion. Entering a MoneyLion Wow Promotion using any of the methods described above during the MoneyLion Wow Promotion period constitutes your agreement to these Official Rules. Unless otherwise stated in the Content related to a specific MoneyLion Wow Promotion, there is a limit of one (1) entry per person per MoneyLion Wow Promotion.

  

Entries made in accordance with the requirements designated on the MoneyLion Wow Promotion Content collectively referred to in these Official Rules as the “Entries” or individually as an “Entry”.

  

Each Entry must be original and you cannot submit the same Entry more than once. Any duplicate Entries will be void. All Entries must be received during the MoneyLion Wow Promotion period designated by Sponsor. Any Entries received after the deadline designated on the MoneyLion Wow Promotion Content will be void. All Entries become the exclusive property of the Sponsor and none will be acknowledged or returned.

  

ENTRY GUIDELINES: All Entries must follow the minimum guidelines to be eligible: Entrant must be a registered MoneyLion user and a Wow Member in good standing to submit an Entry, and must have downloaded the MoneyLion App and must comply with the MoneyLion Terms of Service in order to enter a MoneyLion Wow Promotion. Entry cannot contain content that is irrelevant to the purpose of a MoneyLion Wow Promotion. If Entry is taken by a third party, entrants must have secured all rights, permissions and/or clearances for the Entry before submission. Entry and photo/video cannot be profane, pornographic, sexually explicit or suggestive, or contain nudity. Entry cannot be violent or promote firearms/weapons. Entry cannot contain or promote alcohol, illegal drugs, or tobacco. Entry cannot defame, misrepresent, including inappropriate depictions or contain disparaging or negative remarks about people, brands, products, or companies. Entry cannot be obscene or offensive, endorse any form of hate or hate group, or be derogatory to any ethnic, racial, gender, religious, professional or age group. Entry cannot reference or contain materials embodying copyrighted images, names, likenesses or other indicia identifying any brand, products, company or person, living or dead, without permission. Entry cannot contain any personal information, including but not limited to full names, phone numbers, email addresses, license plate numbers, or street addresses. Entry cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate. Entry cannot depict illegal activity and cannot itself be in violation of any law. Entry may not include images of a known celebrity, famous or well-known person, or any image which violates the rights of privacy or publicity of any person.

  

By submitting an Entry, the entrant understands and grants to the Sponsor a revocable, perpetual, non-exclusive worldwide license to use his/her Entry, photo/video, RoarTag, name, hometown and likeness on the Sponsor’s various websites, the MoneyLion App and social media sites and in advertising and/or promotional activities worldwide without compensation, permission or notification. Sponsor reserves the right in its sole and absolute discretion to alter, change or modify any Entry, which includes any photo, video or text. Entrant may revoke this license and opt out of any such further use by calling 1-888-704-6970 or by emailing Sponsor at optout@moneylion.com, except that such opt out shall not apply to any uses that were already publicly disseminated (including through the MoneyLion App) prior to the entrant’s exercise of this opt out right.

  

By submitting an Entry, the entrant warrants and represents that the (a) Entry does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other legal or moral rights of any person or entity; (b) Entry is entrant’s original work, it has not been previously published, and entrant owns all rights to the Entry, including without limitation, copyrights, and has received prior written permission from a third party if any photo/video was photographed/videotaped by someone other than the entrant him/herself; and (c) entrant will indemnify and hold harmless the Sponsor, and related entities, agents and assigns from any claims and damages (including reasonable attorneys' fees) arising from or relating to the breach or alleged breach of entrant’s representations and warranties herein, the Entry, or entrant’s conduct in creating the Entry, the acceptance or use of any prize or otherwise in connection with a MoneyLion Wow Promotion.

  

MONEYLION WOW PROMOTION ENTRIES ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER.

  

WINNER SELECTION AND NOTIFICATION: The Sponsor or its agent will select winners for all prizes available in a particular MoneyLion WOW Promotion from all eligible Entries received during the promotion period either (a) on a first come, first serve basis while supplies last; or (b) through a random drawing. In the case of a random drawing, the MoneyLion Wow Promotion drawing will take place on or about the date stated on the MoneyLion Wow Promotion Content. The potential winner(s) will be selected in a random drawing from among all eligible Entries received during the MoneyLion Wow Promotion period by the Sponsor. The odds of winning a prize will depend on the total number of eligible Entries and participants for the applicable MoneyLion Wow Promotion. Regardless of the selection method, the potential winner(s) will be notified through notification or announcement in the MoneyLion App, announced during live events streamed through the MoneyLion App, and/or confirmed via email.

  

PRIZES: The prize(s) to be awarded for each MoneyLion Wow Promotion will be designated in the related Content for the specific MoneyLion Wow Promotion. All details of the prize will be determined by the Sponsor in its sole discretion. Sponsor is not responsible for defective items and does not guarantee or warranty any item offered as a prize.

  

PRIZE CONDITIONS: By accepting a prize, the prize winner agrees to release the Sponsor, its affiliated companies, and each of their directors, officers, employees, representatives and agents, from any and all liability whatsoever for any injuries, losses, or damages of any kind by entering a MoneyLion WOW Promotion or for damages of any kind caused by the prize or resulting from acceptance, possession, or use/misuse of the prize awarded, or for any damages caused to the prize in the process of shipping and/or delivery if the prize is a physical item. All local, state and federal taxes are solely the responsibility of the winner. An IRS form 1099 will be issued if required by law. If applicable, use of gift cards is subject to issuer’s terms and conditions. Prize winner may be required to complete and sign an Affidavit of Eligibility and Liability/Publicity Release form provided to them to be returned within 2 business days of written notification, or the prize may be forfeited and, at the Sponsor’s discretion, an alternate winner selected. The Sponsor reserves the right at its sole discretion to substitute a prize package with another prize of equal value in the event that the stated prize (or any component thereof) is not available or if the stated prize was unable to be physically delivered to the winner. If a potential prize winner fails to respond to the Sponsor’s notification within 2 business days of the initial contact by the Sponsor, then such person may be disqualified and an alternate winner will be awarded the prize at issue. Prizes are not transferable or assignable. Additional conditions may apply to the redemption of a prize as set forth in the particular MoneyLion Wow Promotion Content.

  

GENERAL: The decisions of the Sponsor and its General Counsel in all matters regarding MoneyLion Wow Promotions are final and binding. Sponsor is not responsible for any typographical or other error in the printing or advertising of the offer, administration of execution of the MoneyLion WOW Promotions or in the announcement of a winner. By accepting a prize, where permitted by law, the prize winner grants to the Sponsor, its parents, subsidiaries and related companies, and those acting pursuant to the authority of Sponsor (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time the prize winner’s RoarTag, name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification. The prize winner may revoke this right and opt out of any such further use by calling 1-888- 704-6970 or by emailing Sponsor at optout@moneylion.com, except that such opt out shall not apply to any uses that were already publicly disseminated prior to the prize winner’s exercise of this opt out right. TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SPONSOR, ITS PARENTS, AFFILIATES, SUBSIDIARIES, ADVERTISING AND PROMOTION AGENCIES, DEALERS, DISTRIBUTORS, SUPPLIERS, PRIZE PROVIDERS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN MONEYLION WOW PROMOTION OR THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF A PRIZE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH STATES LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF THIS SECTION MAY NOT APPLY TO YOU. By participating, entrants release and agree to hold harmless the Sponsor, its parents, affiliates, subsidiaries, advertising and promotion agencies, dealers, distributors, social media sites, suppliers, prize provider and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in a MoneyLion Wow Promotion or its related activities or the acceptance, possession, use or of, or any harm resulting from the acceptance, possession, use of misuse of a prize. Prize winners acknowledge that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relating to a prize. Sponsor may disqualify a participant’s Entry if they are deemed to have violated these Official Rules. Persons found tampering with or abusing any aspect of a MoneyLion Wow Promotion or who are in violation of these Official Rules as solely determined by the Sponsor will be disqualified and all associated Entries will be void. Use of script, macro or automated entry software or programs or any other means that subvert the entry process is prohibited and all such Entries will be void. In the event a MoneyLion Wow Promotion is compromised by virus, bugs, worms, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play of a MoneyLion Wow Promotion, or if a MoneyLion Wow Promotion is unable to run as planned for any other reason, Sponsor reserves the right in its sole discretion to modify, suspend or terminate that MoneyLion Wow Promotion or any portion thereof and/or terminate the participation of any entrant (and void his/her Entry/ies) whose conduct potentially compromises that MoneyLion Wow Promotion and at its sole discretion, if terminated, to award the prize(s) from among all eligible non-suspect Entries received prior to the act requiring such termination. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein

  

USE OF DATA: All information submitted by entrants will be treated according to Sponsor’s privacy policy, available at https://www.moneylion.com . By participating in a MoneyLion Wow Promotion, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted the Sponsor’s Privacy Policy.

  

DISPUTES: EXCEPT WHERE PROHIBITED BY LAW, AS A CONDITION OF PARTICIPATING IN A MONEYLION WOW PROMOTION, YOU AGREE THAT A) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES, IF ANY; B) YOU ACKNOWLEDGE THAT, UNLESS YOU HAVE OPTED OUT, THE DISPUTES AGREEMENT TO WHICH YOU ARE ALREADY A PARTY EXTENDS TO THESE OFFICIAL RULES, AND THE DEFINITION OF “CLAIM” INCLUDES ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH SUCH MONEYLION WOW PROMOTION OR ANY COMPENSATION OR CREDIT TO BE PROVIDED.

  

WINNER LIST REQUESTS: To request confirmation of the name, city, and state of the prize winner(s) for a MoneyLion Wow Promotion, please send a self-addressed, stamped business-size envelope to: MoneyLion Wow Promotion Winner List c/o P.O. Box 1547, Sandy Utah 84091-1547. Please specify the title of the specific MoneyLion WOW Promotion.
